Please read these Terms and Conditions ("Terms") carefully before using mycoagents.com or any services offered by CoAgents ("we," "our," or "us"). By accessing or using our website or services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Services

CoAgents provides AI-powered agent services for small and medium-sized businesses, including but not limited to AI receptionists, lead research, accounts receivable automation, and proposal building tools (the "Services"). Services may be provided directly or through our partner network.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice where practicable.

2. Eligibility

You must be at least 18 years old and have the authority to enter into a binding agreement on behalf of yourself or your business to use our Services. By using the Services, you represent and warrant that you meet these requirements.

3. Account Registration

Certain features require you to create an account. You agree to:

  • Provide accurate and complete registration information.
  • Keep your login credentials confidential.
  • Notify us immediately of any unauthorized access to your account.
  • Accept responsibility for all activity that occurs under your account.

4. Acceptable Use

You agree not to use the Services to:

  • Violate any applicable law or regulation.
  • Infringe the intellectual property rights of any third party.
  • Transmit spam, unsolicited messages, or harmful content.
  • Attempt to gain unauthorized access to our systems or networks.
  • Reverse engineer, decompile, or disassemble any part of our Services.
  • Use our Services in any way that could damage, disable, or impair them.
  • Impersonate any person or entity.

We reserve the right to suspend or terminate accounts that violate these restrictions.

5. AI-Generated Content

Our Services utilize artificial intelligence to generate responses, drafts, and automations. You acknowledge that:

  • AI-generated outputs may contain errors or inaccuracies and should be reviewed before use.
  • You are solely responsible for any decisions made based on AI-generated content.
  • We do not guarantee the accuracy, completeness, or fitness for a particular purpose of any AI output.
  • You retain ownership of content you input, and grant us a license to process that content to deliver the Services.

6. Fees and Payment

Certain Services are offered on a paid basis. By subscribing or purchasing, you agree to pay all applicable fees as described at the time of purchase. Unless otherwise stated:

  • Fees are billed in advance on a recurring basis (monthly or annually).
  • All fees are non-refundable except as required by law or as expressly stated in our refund policy.
  • We may change pricing with at least 30 days' notice. Continued use after the effective date constitutes acceptance.
  • You are responsible for all applicable taxes.

7. Intellectual Property

All content, software, trademarks, and materials on mycoagents.com and within our Services are owned by or licensed to CoAgents. You may not reproduce, distribute, or create derivative works without our express written permission.

You retain all rights to content you provide to us. By submitting content, you grant us a limited, non-exclusive, royalty-free license to use it solely to provide and improve the Services.

8. Third-Party Integrations

Our Services may integrate with third-party platforms (e.g., CRM tools, calendars, communication platforms). Your use of those integrations is subject to the applicable third-party terms and privacy policies. We are not responsible for the actions or content of third-party services.

9. Partner Program

Participation in the CoAgents Partner Program is subject to a separate Partner Agreement. In the event of a conflict between these Terms and the Partner Agreement, the Partner Agreement governs with respect to the partner relationship.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, COAGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless CoAgents and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your access immediately for material breach of these Terms. Upon termination, your right to use the Services ceases and we may delete your account data in accordance with our data retention policy.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes shall be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to personal jurisdiction in those courts.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page with a revised "Last updated" date. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

16. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and CoAgents regarding the Services and supersede all prior agreements and understandings.
